Rafael Zahralddin to Present on Corporate Governance Ethics at ABA Business Law Spring Meeting
Wilmington, Del. (April 22, 2025) – Wilmington Partner Rafael X. Zahralddin-Aravena will present on corporate governance ethics at the American Bar Association (ABA) Business Law Spring Meeting in New Orleans on April 24 at 8:00 a.m. CT.
In this 60-minute informative session, titled “Ethical Considerations in Corporate Governance of Distressed Companies,” Mr. Zahralddin and co-presenters Howard Brownstein (The Brownstein Corporation), Justin Paget (Hunton Andrews Kurth LLP), Cathy Reece (Fennemore Craig PC), and Elizabeth Stong (US Courts) will provide an overview of the fiduciary duties and ethical responsibilities of corporate board directors, particularly in the context of financial distress or potential bankruptcy. Topics include how distress impacts board decisions, ethical challenges in selecting advisors and directors, alternative solutions to bankruptcy, and the importance of proper board procedures and D&O insurance coverage.
